WHAT IS A VENDOR AGREEMENT?

It is a comprehensive agreement covering various aspects of a relationship with a vendor. It provides for the manner according to which the work has been performed by the vendor. Generally, agreement covers aspects such as the quality of goods supplied or service provided, duration of the contract, terms and mode of payment. Such an agreement would be useful to those hosting a large event with custom built exhibition stands where several vendors will be selling their wares.

Feature of Vendor Agreement

Since drafting of vendor agreements has dependent upon the form of the business. However,  a vendor agreement should have mention these following  points-

  1. Services or Goods: Vendor agreement specifies the quality of goods and how vendor will provide the services in a manner as prescribed by the industry standards.
  2. Termination: It should have been mentioned that how long you want to run for a business. Generally, it has been provided that fixed period and also mention that in case of gross negligence agreement can be terminated.
  3. Representations & Warranties: The representations & warranties section of the vendor agreement is important because it sets out specific representations and warranties that a vendor should be comfortable making before entering into the contract.
  4. Confidentiality: If you are sharing sensitive information with the vendor, you will want to include a confidentiality provision that makes clear any information shared cannot be disclosed to third parties and not be used for any purpose other than for the purpose of performing the services as described in the agreement. The confidentiality provision should also specify that any information shared should be returned or destroyed at the discloser’s request.
  5. Intellectual Property: This clause prescribes who would own the intellectual property right created while doing the business. Vendor agreement specifies that all intellectual property created during the performance of the service, shall be owned by the business.
  6. Limitation of Liability: It limits the liability of the vendor in case something goes wrong. Generally, vendor requests that their liability is limited to the costs of services being provided under the agreement. Though, it can be mentioned under this clause that if the vendor does something that is so that results in losses to you, you should be able to seek more damages than the costs of the services you paid for.
  7. Indemnification: Indemnification provision specifies how one party contractually agrees to cover the losses of another party in specified circumstances. Generally, a vendor agrees to pay the losses in case of a breach of the terms of the vendor agreement, gross negligence, fraud etc.

Benefit:-

  1. Protects Both Parties A well-drafted Vendor Agreement will minimise risk of future litigation, as the rights and duties of both parties are clearly laid down in the agreement.
  2. The agreement can be made to specify exactly how the vendor is going to work. On the other hand, the vendor may have it specify that the space to be allotted, any amenities, mode of payment.
  3. A well-drafted vendor agreement will minimise the risk of future litigation, as the rights, duties and liabilities of both the parties are engrafted in the agreement.
  4. The agreement can be made in such a way to specify exactly how the vendor has to work. On the contrary, the vendor may have it specify the space to be allotted, other amenities available to him, the mode of payment etc.
  5. A vendor agreement can provide the way or limit of the service between two businesses i.e. it can specify that one business will provide the products to be sold and the other business will display the products for sale, for a certain period of time.
