A Non-Solicitation Agreement restricts an individual (usually a former employee) from soliciting either (a) employees or (b) customers of a business after leaving the business.
Non-Solicitation Agreement is especially common in service or sales businesses, particularly when the customer pool is limited.
To be enforceable, an agreement must meet these requirements: • The employer must have a valid business reason. Such a reason might include protecting a valuable customer list, protecting trade secrets or other valuable information etc. • The customer list must be worth protecting. • Employees and customers can leave voluntarily. This agreement can’t prevent a client, customer, or employee from moving to a competitor voluntarily.
